Nayara Energy is currently in the process of implementing Phase 1 of its petrochemical expansion project, which includes the establishment of a 450 KTPA capacity Polypropylene plant, a new Propylene recovery unit, and upgrades to the existing FCC and LPG Treatment Units, along with associated offsite and utility facilities. These developments are taking place at our 20 MTPA refinery facility in Vadinar, Gujarat. In the year 1989, the Company was established in Gujarat, India. Its corporate office is situated in BKC, Mumbai.

  • During the fiscal year 2021, Nayara achieved significant financial milestones, recording a total income of INR 88,566 Crores and an impressive EBITDA of INR 3,737 Crores.   • With a diligent approach to managing finances, the Company upholds a favorable debt burden, reflected in its Debt-to-Equity Ratio of 0.46x. Additionally, the Company boasts a book value per share of INR 139 and a sales per share of INR 587. Considering the average price of Nayara Energy, the approximate price-to-book (PB) ratio falls within the range of 2-2.5, while the price-to-sales (PS) ratio ranges between 0.40 and 0.50.
  • For the first half of fiscal year 2022, the Company achieved commendable results on a standalone basis. It recorded a total income of INR 56,711 Crores, an EBITDA of INR 1,515 Crores, and demonstrated a robust Free Cash Flow to Firm of INR 3,445 Crores, indicating a strong financial position.
  • With the acceleration of economic and industrial activities in the country, the demand for fuel is poised to rise. This upward trend in demand will prove advantageous to the Company's revenues, particularly in light of the increasing crude prices.

Prasad K Panicker - Chairman & Head of Refinery 

Mr. Prasad holds a B.Sc (Engg.) degree from Government Engineering College, Thrissur, and an MBA from the School of Management Studies, Cochin University. With more than 38 years of combined technical and managerial experience, Mr. Panicker's impressive career includes serving as the Executive Director of BPC's Kochi refinery before joining Nayara Energy. His expertise encompasses handling intricate and demanding assignments, along with a valuable blend of techno-commercial exposure. Mr. Panicker has demonstrated his ability to drive business outcomes, excel in refining production, foster integrated synergies with diverse marketing business units, shape processes, and lead organizational excellence.

Avril Conroy  - Non-Executive Director 

Having obtained a Fellowship in Marketing from the Chartered Institute of Marketing (CIM) in the UK, as well as completing executive-level programs from Kellogg Sales & Marketing and INSEAD World Class Leadership, Ms. Conroy brings a wealth of knowledge and expertise to her role. With a career spanning over 25 years in the downstream sector of the oil and gas industry, she has held various positions encompassing marketing and operations.

Victoria Cunningham - Non-Executive Director 

Having completed an Executive MBA from Stanford University and holding a Degree in Chemistry from Popov Chemical Institute, Ms. Cunningham possesses a robust educational background. With over 20 years of experience in managing financial institutions such as Deutsche Bank and UP, she currently serves as the Head of UP Private Equity division. In this role, she is responsible for overseeing the entire private equity investment cycle, from identifying potential deals to conducting due diligence. Additionally, Ms. Cunningham actively participates as a board member of portfolio companies and holds a position on the UCP Investment Committee.

Andre Bogatenkov  - Non-Executive Director 

In 2002, Mr. Bogatenkov graduated from Moscow State University of International Relations with a Bachelor's degree, and in 2016, he completed an Executive MBA program at Saint-Petersburg State University. Additionally, he received a Doctorate Degree in Economics in 2008. With approximately 20 years of professional experience, Mr. Bogatenkov served as the Chief Commercial Officer at Nayara Energy from June 2021 to May 2022.

P.N. Vijay - Non-Executive Director 

Mr. P.N. Vijay holds a Physics degree from Presidency College Chennai and has pursued a post-graduate program in Electronics at the Indian Institute of Technology, Chennai. With over five decades of professional experience, Mr. P.N. Vijay has established a successful career spanning investment banking, financial lending, politics, asset management, and corporate governance. Currently, he holds Director positions on the Boards of several prominent Indian companies, such as Dabur India Limited, Pharmaids Pharmaceuticals Limited, Maharashtra Seamless Limited, among others. Previously, Mr. Vijay served as the Managing Director of Rainbow Digital Services Private Limited, a non-banking financial company (NBFC), and has facilitated numerous investment banking transactions with major corporations and middle markets in India, as well as global markets.

Alexander Romanov - Non-Executive Director Chemical Engineering Organic, Economics.

With over 21 years of extensive experience in the refining and petrochemicals sector within oil and gas companies, Mr. Romanov currently holds the position of Vice President for Refining & Petrochemicals at Rosneft Oil Company. Prior to this role, he was affiliated with Saratov Oil Refinery and Alliance Oil Company, where he gained valuable expertise in the industry.

Alexey Lizunov  - Non-Executive Director 

Mr. Lizunov holds a Specialist of Economics degree from Moscow State Institute of International Relations (University Mgimo). He possesses over 16 years of experience, currently leads the structured finance and debt obligations department at Rosneft Oil Company. In his role, he oversees various responsibilities such as coordinating long-term debt financing, managing the existing debt portfolio, supervising financing activities of international subsidiaries and joint ventures, and coordinating dividend distribution by top-holding companies. Before joining Rosneft, Mr. Lizunov spent 10 years at TNK-BP (Oil & Gas) in Moscow.

Naina Lal Kidwai - Independent Director 

Ms. Kidwai, a Chartered Accountant, holds a Bachelor of Arts in Economics (Honors) as well as a Masters Degree in Business Administration. With a wealth of experience in the Financial Services sector, she has had close associations with prominent fund managers, multinational corporations, and Indian corporates. Throughout her career, she has worked with renowned organizations such as PwC, ANZ Grindlays Bank PLC (Standard Chartered Bank), Morgan Stanley, and HSBC. Ms. Kidwai has played a key role in overseeing numerous mergers and acquisitions of various entities.

Abhimanyu Bhandari - Non-Executive Director 

Mr. Bhandari holds an LL.B degree from the University of Buckingham, as well as M.Phil. and Bachelors in Civil Law from the University of Oxford. With over 20 years of extensive experience, he specializes in Arbitration and Litigation matters. Additionally, he serves as an Additional Advocate General (AAG) for the State of Punjab in the Hon'ble Supreme Court of India. Mr. Bhandari has provided legal advice and representation to esteemed clients including public sector undertakings, banks, privately held companies, non-profit organizations, national and political figures, as well as celebrities. Currently, he is an associate member of 4Pump Court in London, UK. Previously, he has successfully represented clients in the Supreme Court, various High Courts, Appellate authorities, and Tribunals.

Deepak Kapoor - Independent Director

Mr. Deepak Kapoor, a Chartered Accountant and Company Secretary with a B.Com degree, is also a Member of the Institute of Certified Fraud Examiners in the USA. He had a long association with PwC India, serving for over 30 years in various capacities. From 1991, he worked as a partner at PwC and later became the Managing Director from 2007 to 2016. During his tenure as a member of PwC's India Leadership Team, Mr. Kapoor held multiple leadership positions and was actively involved in leading deals and working in the Telecom, Entertainment, and Media sectors. With his vast expertise in both Audit and Business Advisory functions, he contributed significantly to the company.

Anton Kabachinskiy - Non-Executive Director 

Having obtained his Bachelor of Business Administration degree with honors, Mr. Kabachinskiy went on to pursue a Master's in Business Administration from European University Cyprus. With an impressive track record spanning over 24 years, he has amassed extensive expertise in the investment banking industry, encompassing various responsibilities such as spearheading new projects and cultivating business lines. Currently, Mr. Kabachinskiy holds the position of CEO at UCP Asset Management Limited in Cyprus and serves as the Group COO for UCP.
